Veeva Systems Inc., a California-based company that makes cloud software solutions for the life sciences industry, has filed an amended Form S-1 with the Securities and Exchange Commission for an initial public offering (IPO) of 13 million Class A shares priced between $12 and $14 a share.

Selling stockholders are offering 3.33 million shares and the rest are being offered by the company. The underwriters have an overallotment option on an additional 1.96 million shares.

The company has two classes of common stock that are priced equally, but Class B shares are entitled to 10 votes each while Class A shares are entitled to one vote per share. After the offering, holders of Class B shares will hold about 98.5% of the voting power of outstanding shares, and the company�� officers, directors and their affiliates will hold about 74% of the voting power in the company.

Veeva plans to use its share of the proceeds, estimated at $138.3 million if the underwriters��options are taken and the shares are priced at the mid-point of the estimated range, for general corporate purposes and working capital. In its filing the company said, “[W]e do not currently have specific planned uses of the proceeds. The amount of proceeds we use for the purposes above, if any, will depend on the level of cash generated from our operations.”

Wall Street analysts, on average, expect Coldwater Creek to report revenue of $162.81 million on a loss of 63 cents per share.

    The current short interest as a percentage of the float for Coldwater Creek is very high at 18.8%. That means that out of the 12.17 million shares in the tradable float, 3.47 million shares are sold short by the bears. This is a big short interest on a stock with a very low tradable float. If the bulls get the earnings news they're looking for, then this stock could easily explode higher post-earnings.

    From a technical perspective, CWTR is currently trending just below its 50-day moving average and well below its 200-day moving average, which is bearish. This stock has been trending sideways for the last two months, with shares moving between $2.16 on the downside and $2.80 on the upside. A high-volume move above the upper-end of its recent range could trigger a breakout trade for CWTR post-earnings.

    If you're bullish on CWTR, then I would wait until after its report and look for long-biased trades if this stock manages to break out above some near-term overhead resistance levels at $2.51 to $2.69 a share and then once it takes out more resistance at $2.80 a share with high volume. Look for volume on that move that hits near or above its three-month average action of 192,994 shares. If that breakout hits, then CWTR will set up to re-fill some of its previous gap down zone from June that started near $3.60 a share.

    I would simply avoid CWTR or look for short-biased trades if after earnings it fails to trigger that breakout, and then drops back below some key near-term support levels at $2.35 to its 52-week low at $2.16 a share with high volume. If we get that move, then CWTR will set up to enter new 52-wee

    Another under-$10 biotechnology player that's starting to trend within range of triggering a major breakout trade is Prana Biotechnology (PRAN), which researches and develops therapeutic drugs for the treatment of neurological disorders in Australia. This stock has been crushed by the bears so far in 2014, with shares off huge by 69%.

     

    If you look at the chart for Prana Biotechnology, you'll notice that this stock recently formed a double bottom chart pattern at $1.90 to $2 a share right above its 50-day moving average of $1.84 a share. Shares of PRAN have been consolidating and moving sideways above its 50-day for the last few weeks. This stock is now starting to spike higher today right above those near-term support levels, and it's quickly pushing within range of triggering a major breakout trade above some key overhead resistance levels.

     

    Market players should now look for long-biased trades in PRAN if it manages to break out above some near-term overhead resistance levels at $2.22 to $2.35 a share and then above some past overhead resistance at $2.47 a share with high volume. Look for a sustained move or close above those levels with volume that hits near or above its three-month average action of 1.98 million shares. If that breakout triggers soon, then PRAN will set up to re-test or possibly take out its gap-down-day high from April at $3.24 a share. Any high-volume move above that level will then give PRAN a chance to re-fill some of its previous gap-down-day zone that started at $10.30 a share.

    Traders can look to buy PRAN off weakness to anticipate that breakout and simply use a stop that sits just below its 50-day moving average of $1.84 a share. One can also buy PRAN off strength once it starts to move above those breakout levels with volume and then simply use a stop that sits a comfortable percentage from your entry point.
